This session explores the unique fiduciary-duty and ethical issues confronted by board members of distressed companies that are owned and controlled by private-equity sponsors, including the impact of multitranche and unitranche financing structures, contractual-duty limitations and exculpations, and the issues confronted by valuation advisors in these situations.
